1. Acceptance of Terms
By downloading, installing, or using the Resphinx mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.
Resphinx is operated by Versacarte ("we", "us", or "our") and is accessible at https://www.sphinx.versacarte.com.
2. Who Can Use Resphinx
Resphinx is intended for users who are 18 years of age or older. By using this App, you confirm that you are at least 18 years old. The App is designed for property managers, landlords, and tenants engaged in formal rental agreements.
3. Description of Service
Resphinx is a property management platform that allows:
Property Owners and Managers to:
- Manage properties, units, and rental listings
- Track rent payments, water charges, repairs, and other transactions
- Communicate with tenants through in-app chat and messaging
- Submit and track maintenance requests
- Process rent payments via Pesapal, Google Pay, and PayPal
- Invite and assign tenants to specific units
Tenants and Clients to:
- View their assigned unit details and lease information
- Pay rent and other charges online
- Submit and track maintenance and repair requests
- Communicate with their property manager via in-app chat
- Receive and save Google Wallet rent receipts
4. Account Registration
To use Resphinx, you must create an account using your email address and password, or via supported OAuth providers including Google, Microsoft, Facebook, or Twitch.
You agree to:
- Provide accurate and truthful information during registration
- Keep your login credentials secure and confidential
- Notify us immediately at support@versacarte.com if you suspect unauthorized access to your account
- Not share your account with any other person
Property owner accounts require a special access code during registration. This code is managed by Versacarte and issued separately.
5. Two-Factor Authentication
Resphinx offers optional two-factor authentication (2FA) via authenticator app (TOTP) and SMS verification through Twilio. While 2FA is optional, we strongly recommend enabling it for enhanced account security.
6. Payments and Transactions
Resphinx facilitates rent and other property-related payments through the following third-party payment processors:
- Pesapal — M-Pesa, card, and bank payments
- Google Pay — Android native payments
- PayPal — Online checkout payments
Important payment terms:
- Resphinx does not store, process, or hold your payment card details, M-Pesa PIN, or banking credentials. All payment information is handled directly and securely by our payment processors on their hosted pages.
- Resphinx does not hold tenant funds in an in-app wallet. Payments settle directly with the property manager's Pesapal merchant account.
- All transactions are final unless disputed directly with the payment processor or property manager.
- Resphinx is not responsible for failed, delayed, or disputed transactions. Please contact your property manager or the relevant payment provider for transaction disputes.
7. Fees
Resphinx does not currently charge users a subscription or usage fee for basic access to the platform. However, third-party payment processors may apply their own transaction fees, which are outside our control.
8. User Conduct
You agree not to use Resphinx to:
- Provide false or misleading information about yourself, your property, or your tenancy
- Harass, abuse, or threaten other users through the chat or messaging features
- Attempt to gain unauthorized access to other users' accounts or data
- Upload malicious files, viruses, or harmful content through chat attachments
- Use the App for any unlawful purpose or in violation of any applicable laws and regulations
- Attempt to reverse-engineer, copy, or tamper with the App or its underlying systems
9. Chat and Messaging
Resphinx provides in-app messaging between property owners and tenants. Users are responsible for the content of their messages. We reserve the right to suspend or terminate accounts that use messaging features to harass, threaten, or harm other users.
Photo and document attachments sent in chat are stored securely in Supabase Storage and are accessible only to the intended recipients.
10. Maintenance Requests
Tenants may submit maintenance and repair requests through the App. Resphinx facilitates communication between tenants and property managers but is not responsible for the resolution, quality, or timeliness of any maintenance work carried out.
11. Third-Party Services
Resphinx integrates with the following third-party services to deliver its features:
- Supabase — Backend infrastructure, database, authentication, and file storage
- Pesapal — Payment processing (M-Pesa, card, bank)
- Google Pay — Android payment processing
- PayPal — Online payment processing
- Twilio — SMS one-time passwords for two-factor authentication
- Google — OAuth login and Google Wallet rent receipts
- Microsoft (Azure) — OAuth login
- Facebook — OAuth login
- Twitch — OAuth login
Your use of these third-party services is subject to their respective terms and privacy policies. Resphinx is not responsible for the practices or content of third-party providers.
12. Intellectual Property
All content, branding, design, code, and materials within the Resphinx App are the intellectual property of Versacarte. You may not copy, reproduce, distribute, or create derivative works from any part of the App without our express written permission.
13. Account Termination and Deletion
You may request deletion of your Resphinx account at any time by emailing support@versacarte.com from your registered email address. We will verify your identity and process the deletion of your account and associated data within 30 days.
We reserve the right to suspend or terminate your account without notice if you violate these Terms or engage in conduct that is harmful to other users or to the platform.
14. Disclaimer of Warranties
Resphinx is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, availability, accuracy, or fitness for a particular purpose of the App.
We do not guarantee uninterrupted service and are not liable for any downtime, data loss, or technical failures.
15. Limitation of Liability
To the fullest extent permitted by law, Versacarte shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, loss of revenue, or damage to property.
Our total liability to you for any claim arising from use of the App shall not exceed the amount you paid to use the App in the 12 months preceding the claim.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this document. Continued use of the App after changes are posted constitutes your acceptance of the updated Terms.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising under these Terms shall be subject to the jurisdiction of the courts of Kenya.
